    6362 Stansstad

    Switzerland

    UID: CHE-326.782.914 MWST

    Email: office@syn-tech.ch

    2. Scope of Application

These General Terms and Conditions (GTC) govern the entire contractual relationship between Syntech Solutions AG (hereinafter "Provider" or "Swizz.ai") and any natural or legal person (hereinafter "Customer" or "User") who registers for, accesses, or uses the Swizz.ai SaaS platform — whether on a free or paid plan, and whether as a private individual or a business (B2B).

By completing registration or by continuing to use the platform, the User unconditionally accepts these GTC. General terms and conditions of the Customer that conflict with or deviate from these GTC shall not apply unless the Provider has expressly agreed to them in writing.

The Provider reserves the right to amend these GTC at any time in accordance with clause 29.

    3. Definitions

    • "Platform" — the Swizz.ai SaaS application accessible at https://swizz.ai and its associated APIs, tools, and subdomains.
    • "User Content" — all text, images, code, data, logos, and other materials uploaded or submitted by the User.
    • "AI-Generated Content" — text, images, layouts, code, or other outputs produced by AI models in response to User instructions.
    • "Subscription" — the time-limited, fee-based or free access plan selected by the User.
    • "Project" — a website, web application, or other digital product created and managed by the User within the Platform.
    • "Sub-Processors" — third-party service providers engaged by the Provider to deliver parts of the service (Exoscale, Vercel, Cloudflare, OpenAI, Stripe).

    4. Services

Swizz.ai provides a SaaS platform that enables Users to create, manage, and publish websites and web applications using AI-assisted tools. The core services include:

    • AI-assisted website and web application creation and editing
    • Hosting of created websites and applications via Exoscale and Vercel
    • CDN delivery and DDoS protection via Cloudflare
    • AI content generation via OpenAI API integration
    • Custom domain management and SSL certificate provisioning
    • Payment processing via Stripe

The Provider is entitled to expand, modify, or discontinue individual functions at any time with reasonable notice, provided that the core functionality of the paid plan is not materially impaired. New features may be subject to additional charges.

The Platform is a tool; it does not constitute professional advice (legal, medical, financial, or otherwise).

    5. Contract Conclusion

The contract is concluded when the User completes the registration process on the Platform and clicks the confirmation button, or — in the case of paid plans — when payment is successfully processed via Stripe. Registration requires a valid e-mail address and, for paid plans, valid payment details.

Minors under the age of 18 may only use the Platform with the express consent of a parent or legal guardian. By registering, the User confirms that they are of legal age or have obtained the required consent.

The Provider reserves the right to refuse registration or to terminate accounts without stating reasons, in particular in cases of suspected misuse.

    6. Role Model & Permitted Use

The Platform is designed for lawful commercial and personal use. The User may use the Platform to create and publish websites and web applications for themselves or their own clients, subject to any restrictions set out in the applicable subscription plan.

Reselling access to the Platform as a standalone service or creating a competing product based on the Platform's codebase or functionality is prohibited without prior written agreement.

The Provider may offer separate reseller or agency programmes with their own terms.

    7. User Obligations

The User is solely responsible for all content they upload, generate, or publish through the Platform. The User undertakes to:

    • Use the Platform exclusively for lawful purposes and in compliance with applicable law
    • Not upload or generate content that is illegal, abusive, defamatory, pornographic, or infringes third-party rights
    • Not circumvent, disable, or interfere with security features of the Platform
    • Not use automated tools, scrapers, bots, or scripts to access or extract data from the Platform without prior written consent
    • Comply with all applicable data protection laws when processing personal data of third parties via the Platform
    • Keep login credentials confidential and notify the Provider immediately of any suspected unauthorised access
    • Not engage in reverse engineering, decompiling, or disassembling the Platform

Users are solely responsible for any content they create, upload, or publish on Swizz.ai. Swizz.ai is not responsible or liable for user-generated content, including illegal, harmful, offensive, or otherwise prohibited content, and reserves the right to remove or restrict such content.

The Provider may suspend or terminate access immediately for material breaches of these obligations.

    8. AI Features & User Responsibility

Swizz.ai uses probabilistic language and image models (including OpenAI's API) to generate content. AI outputs are statistical in nature and may contain:

    • Factual errors or outdated information
    • Content that may infringe third-party intellectual property rights
    • Text or images that may not comply with sector-specific regulations (medicine, law, finance, advertising)
    • Stylistic, ethical, or factual inconsistencies

The User bears full responsibility for reviewing all AI-generated content before publication or use. The Provider does not warrant the accuracy, completeness, legality, or suitability of AI-generated outputs for any specific purpose.

The User grants the Provider a non-exclusive, worldwide, royalty-free licence to process User Content through AI models solely for the purpose of providing the requested service feature. The Provider does not use User Content to train AI models without explicit consent.

    9. Domains & DNS

The Platform enables Users to connect custom domains or use provided subdomains. The User is responsible for acquiring, renewing, and correctly configuring any custom domain. The Provider assumes no liability for domain registration failures, expired domains, or DNS misconfiguration.

SSL certificates are provisioned automatically for hosted projects. The Provider does not guarantee uninterrupted SSL coverage in the event of DNS changes or domain expiry.

    10. Intellectual Property

All intellectual property rights in the Platform — including its software, UI, templates, AI models, brand names, and documentation — belong exclusively to Syntech Solutions AG or its licensors.

User Content remains the property of the User. By using the Platform, the User grants the Provider a limited, non-exclusive, royalty-free licence to host, store, transmit, and display User Content solely for the purpose of providing the services.

AI-Generated Content produced during a paid subscription is owned by the User, subject to the terms of the underlying AI model provider (OpenAI). AI-Generated Content produced on the free plan may be subject to additional restrictions.

    11. Prices, Billing & Payment

Subscription prices are displayed on the pricing page at https://swizz.ai/pricing. All prices are net prices and exclude applicable Swiss VAT (MWST) and any local taxes, which will be added at checkout.

Payment is processed exclusively via Stripe. By providing payment details, the User authorises the Provider to charge the applicable subscription fees on a recurring basis (monthly or annual, as selected). The Provider does not store payment card data.

Invoices are issued electronically and made available within the User's account dashboard.

Subscription fees are non-refundable. No refunds are granted for unused portions of a billing period, except where required by mandatory law.

    12. Contract Duration & Termination

Subscriptions are concluded for the period selected at checkout (monthly or annual) and renew automatically unless cancelled before the end of the current billing period. Cancellation takes effect at the end of the paid period; the User retains access until that date.

Free accounts remain active indefinitely but may be deactivated after 12 months of inactivity with prior notice.

Either party may terminate the contract for cause (extraordinary termination) without notice period. Grounds for extraordinary termination by the Provider include, but are not limited to, material breach of these GTC, non-payment, abuse, or illegal use of the Platform.

Upon termination, the User must export all data within 30 days. After this period, all data will be deleted in accordance with the Privacy Policy.

    13. Availability & Maintenance

The Provider targets an annual platform availability of 99.5% (excluding scheduled maintenance). This availability target does not constitute a legally binding service level agreement (SLA) unless separately agreed in writing.

Scheduled maintenance windows will be communicated with at least 24 hours' notice where possible. Emergency maintenance may be carried out without prior notice.

The Provider accepts no liability for downtime caused by Sub-Processors, force majeure events, DDoS attacks, or circumstances beyond its reasonable control.

    14. Fair Use

Each subscription plan includes defined usage limits (AI generation credits, bandwidth, storage, number of projects). These limits are detailed on the pricing page and within the User's account dashboard.

Usage that significantly exceeds the defined limits and negatively impacts the service for other users may result in temporary throttling, suspension, or a requirement to upgrade to a higher plan.

The Provider reserves the right to introduce or adjust fair use policies with reasonable notice.

    15. Support

The Provider offers support via e-mail at office@syn-tech.ch and through the in-platform help centre. Response times vary by subscription tier and are not guaranteed unless separately agreed.

Support is provided in English and German during Swiss business hours (Monday–Friday, 09:00–17:00 CET/CEST). The Provider does not offer 24/7 support unless specified in a separate agreement.

    16. Liability

The Provider is liable without limitation for damages caused by intent or gross negligence on its part or that of its legal representatives or vicarious agents.

For damages caused by slight negligence, liability is limited to foreseeable, typically occurring damage. In any case, the Provider's aggregate liability for all claims arising in a twelve-month period shall not exceed the total fees paid by the Customer to the Provider in the twelve months immediately preceding the claim.

Liability for consequential damages, loss of profit, loss of data, and indirect damages is excluded to the maximum extent permitted by applicable Swiss law.

The above limitations do not apply to liability for death or personal injury, fraudulent misrepresentation, or any other liability that cannot be excluded by law.

    17. Indemnification

The User shall indemnify and hold harmless the Provider, its officers, employees, and agents from and against any claims, damages, fines, and costs (including reasonable legal fees) arising from (a) the User's violation of these GTC; (b) User Content that infringes third-party rights; (c) the User's unlawful use of the Platform; or (d) the publication of AI-Generated Content without adequate prior review.

    18. Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party in connection with the use of the Platform that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information ("Confidential Information").

This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party, or must be disclosed by law.

    19. Third-Party Services

The Platform integrates with third-party services including Exoscale, Vercel, Cloudflare, OpenAI, and Stripe. These providers operate under their own terms of service and privacy policies. The Provider is not responsible for the availability, functionality, or data handling practices of third-party services beyond the obligations set out in the Data Processing Agreement (DPA).

The Provider will notify Users of any material changes to Sub-Processors in accordance with the DPA.

    20. Notice & Takedown

If a third party believes that content published via the Platform infringes their rights (copyright, trademark, personal rights, etc.), they may submit a written takedown request to office@syn-tech.ch with details of the alleged infringement and supporting documentation.

The Provider will review valid requests and take appropriate action, which may include notifying the User and temporarily suspending or removing the contested content. The Provider acts as a hosting provider and is not editorially responsible for User Content.

    21. Export Controls

The User represents that they are not located in, or a national or resident of, any country subject to Swiss or EU/US export restrictions or sanctions, and that they will not use the Platform in violation of any applicable export control laws or regulations.

    22. Anti-Corruption

Both parties represent that they comply with all applicable anti-bribery and anti-corruption laws, including the Swiss Criminal Code provisions on corruption. Neither party shall offer, pay, or accept any improper advantage in connection with this contract.

    23. Assignment

The User may not assign or transfer any rights or obligations under these GTC to a third party without the prior written consent of the Provider.

The Provider may assign its rights and obligations under these GTC to a successor entity in the event of a merger, acquisition, or sale of substantially all of its assets, provided that the User is notified in advance.

    24. Order of Documents

In the event of any conflict between the documents forming the contractual relationship, they shall take precedence in the following order:

    1. Any individually negotiated written agreement (if applicable)
    2. These General Terms and Conditions (GTC)
    3. The Data Processing Agreement (DPA)
    4. The Privacy Policy
    5. The Cookie Policy

    25. Severability

If any provision of these GTC is found to be invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that comes closest to the economic intent of the original provision.

    26. Contract Language

The authoritative version of these GTC is in German. English and French translations are provided for convenience only. In the event of any discrepancy between language versions, the German version shall prevail.

    27. Notices

Legal notices to the Provider must be sent in writing (by post or e-mail with delivery confirmation) to:

    Syntech Solutions AG

    Rotzbergstrasse 1, 6362 Stansstad, Switzerland

    E-mail: office@syn-tech.ch

The Provider will send notices to the e-mail address provided during registration.

    28. Survival

Provisions that by their nature should survive termination shall do so, including but not limited to: Intellectual Property (clause 10), Liability (clause 16), Indemnification (clause 17), Confidentiality (clause 18), and Applicable Law & Jurisdiction (clause 30).

    29. GTC Changes

The Provider may amend these GTC at any time. Users will be notified of material changes by e-mail or via an in-platform notification at least 30 days before the changes take effect.

Continued use of the Platform after the effective date of the changes constitutes acceptance of the revised GTC. If the User does not accept the changes, they must terminate their account before the effective date.

    30. Applicable Law & Jurisdiction

    • Applicable Law: Swiss Law, excluding private international law rules
    • Jurisdiction: The exclusive place of jurisdiction for all disputes arising from or in connection with these GTC is Stansstad (NW), Switzerland, subject to any mandatory statutory jurisdiction that cannot be excluded.
